依据《中华人民共和国民法典》及有关法律、法规的规定，甲乙双方在平等、自愿的基础上，经双方协商一致，特签订本合同。

第一条：租赁设备信息（以下均简称“租赁物”）

第二条：设备交付与验收

第四条：设备所有权与处分权

1、租赁期内设备所有权归属甲方，但乙方在租赁期限内享有完整的使用权，甲方不得干预。

2、乙方可对设备进行必要改良，改良部分费用由乙方承担，改良后的设备功能提升部分权益归属乙方，乙方对于设备的重大改良需征得甲方同意。

3、在租赁期间，乙方如将租赁设备转租给第三人，需征求甲方同意。

4、出租方应当在租赁期间持续对租赁物有合法产权，且未被设立抵押、质押等担保物权，未被司法机关查封或存在权属争议。

第五条：保证金条款 （如有）

1、乙方本合同签订后支付保证金：人民币 元（大写： ），甲方应于合同终止后3日内无息退还。

2、保证金仅用于担保设备损坏赔偿（非正常损耗）及欠付租金，不得擅自抵扣其他费用。

第六条：设备维护与风险承担

1、租赁设备在交货地点，由甲方向乙方（或其代理人）交货，并且负责安装及调试。甲方负责设备贰年免费保修（自验收合格日起），保修范围包含设备质量问题及正常损耗。

2、非因乙方过错导致的设备故障，维修费用及停工损失由甲方承担。

3、设备灭失风险：因不可抗力或甲方未履行安保义务导致设备毁损灭失的，风险由甲方承担。

4、在工作过程中乙方不能对设备故障排除，应及时通知甲方进行维修。

第七条：合同变更与解除

1、任何一方要求变更或解除合同应提前30日书面通知对方，否则需赔偿对方相当于3个月租金的违约金。

2、甲方单方解除合同需满足以下情形之一：

（1）乙方拖欠租金达两个支付周期且经催告仍不支付；

（2）乙方故意毁损设备且拒不修复。

3、如本合同在履行期间，如出现本合同履行的客观条件发生了较大变化，当事人一方继续履行合同对其显失公平并且对方拒绝解除合同违反诚实信用原则的情形，当事人一方有权解除合同，但应当按照本合同的约定承担相应的违约责任。

4、本合同项下陈述、保证、承诺等类似条款作为本合同后续履行的前提条件。本合同项下任何一方如违反其陈述、保证、承诺等类似内容，导致对方受到损失的，守约方有权解除合同，并就自身受到的损失向违约方主张赔偿。

5、本合同被解除后，尚未履行的，终止履行。当事人一方负有返还财产义务的，应当在10日内完成返还；不能返还或者没有必要返还的，应当折价补偿。有过错的一方应当赔偿对方由此所受到的损失；各方都有过错的，应当各自承担相应的责任。

第八条：违约责任

1、甲方违约情形及责任：设备交付延迟或者进过甲方通知后延迟维修：每逾期一日按年租金标准的1%赔偿乙方；设备质量问题导致停产，按日租金三倍赔偿乙方损失。

2、乙方违约情形及责任：租金逾期支付，每日按未付金额万分之三支付违约金，且甲方不得擅自停机（停机需提前3日书面通知）。

3、甲方违反相关承诺导致设备被第三方主张权利、查封或因其他原因导致乙方无法正常使用设备的，乙方有权采取以下措施：

（1）立即终止合同，并要求甲方退还已支付未发生的全部租金、保证金及赔偿乙方直接损失（包括但不限于停产损失、第三方索赔等）；

（2）要求甲方在收到乙方书面通知后3日内消除权利障碍或更换同等价值设备，逾期未处理的，乙方可按日租金三倍标准向甲方主张赔偿，直至问题解决。

第九条：争议解决

因本合同产生的争议，双方同意提交原告方所在地人民法院管辖。

第十条：其他条款

1、本合同自双方盖章之日起生效。本合同壹式贰份，双方各执壹份，均具有同等法律效力。

2、对本合同的效力、履行、变更、终止或解释发生争议，由当事人双方协商解决。协商不成，双方同意向原告所在地人民法院提起诉讼。

3、本合同是双方的真实意思表示，本合同未尽事宜，双方按照关于租赁合同的有关法律规定执行。

甲乙双方就乙方为甲方安装建立一套实时开户通信系统并为甲方提供日后的通信运行服务事项，达成合同条款如下：

一、甲方义务

1. Party A's obligations



具备一条用于连接证券通信公司通信中心的电话线或DDN线路。并针对不同的线路，分别购买用于接入的设备：MODEM或路由器（CISCO 26系列）。

Equip a telephone line or DDN line for connecting to the communication centre of Securities Communication Company. And for different lines, respectively, to purchase equipment for access: MODEM or router (CISCO 26 series).



准备一台CPU主频500MHZ以上、内存64M以上、硬盘500M以上并安装中文NT操作系统的品牌PC机。

Prepare a brand-name PC with a CPU frequency of 500MHZ or above, memory of 64M or above, hard disc of 500M or above and Chinese NT operating system installed.



具备符合中国证券登记结算公司要求的软件及硬件环境。

Possess the software and hardware environment that meets the requirements of China Securities Depository & Clearing Corporation.



为乙方的安装调试工作提供必要的协助。

Furnish the necessary assistance for Party B's installation and commissioning work.



正确使用和操作该通信系统。

Use and operate the communication system correctly.



按时支付合同规定的各项费用。

Effect payment of the fees stipulated in the contract on time.



二、乙方义务

2. Party B’s obligations



1、提供专用的实时开户通信软件一套，并负责提供用户软件的更新升级。

1、Provide a set of special real-time account opening communication software, and is responsible for providing user software updates and upgrades.



2、按照甲方的要求，在收到工程安装款后十天内负责安装调试该通信系统或指导甲方自行安装本系统。现场安装人员的食宿费由乙方自理。

Party B will, in accordance with Party A's requirements,, be responsible for installing and debugging the communication system or guiding Party A to install the system on its own within ten days upon receipt of the payment for the installation of the project. Party B shall pay the accommodation and board expenses of the on-site installation personnel.



3、提供与本通信系统相关的技术资料并指导用户正确操作使用。

4、负责为该通信系统的日常运行和维护提供技术咨询服务。

三、 合同款及付款方式

（一）合同款：

1、实时开户通信软件一套，价格为HK$10000元。

1. One set of software of real-time account opening communication at cost of HK$10000.



2、安装调试费用为HK$3000元。甲方如自行安装，则乙方不收取此项费用，但乙方应提供有效的安装指南文件并负责通过电话进行指导释疑。

2. The costs of installation and commissioning for HK$3000. Where Party A installs the software by itself, no charge for this term by Party B, however Party B shall furnish effective installation guide documents and be responsible for guidance and clarification by telephone.

每套系统每月的运行维护费为HK$500元（港币伍佰元）。

（二）付款方式：

(2) Payment Methods:



1、甲方应以电汇方式按本合同指定的帐户向乙方支付合同有关款项。

1. Party A shall pay to Party B the relevant amount of the Contract by telegraphic transfer to the account specified in this Contract.



2、工程安装费、设备款及当年剩余月份的运行维护费（按安装系统的下一个月计至年底）应在合同签定后一周内一次性支付。

2. The project installation fee, equipment payment and operation and maintenance fee for the remaining months of the year (counting from the next month of the installed system to the end of the year) shall, within one week upon conclusion of the contract, be paid in one lump sum.



4、甲方应在每年1月份内一次性交纳本年度12个月的运行维护费（HK$6000元）。

4. Party A shall, within January of each year, pay the operation and maintenance fee (HK$6,000) for 12 months of the current year in one lump sum.



四、 违约责任

4. Liability for breach of contract



若甲方不按期足额支付工程款，乙方有权认为甲方放弃执行本合同，同意解除合同。

Failure of Party A to pay the project payment in full on time shall be deemed by Party B as Party A’s abandon of the implementation of this contract and agrees to terminate the contract.



若甲方不按期支付运行维护费，乙方有权自逾期付款之日起终止对甲方继续提供相应通信服务内容。

Failure of Party A to pay the operation and maintenance fee on time, Party B has the right to terminate Party A from the date of late payment to continue to provide the corresponding communication service content.



乙方承诺将实时开户的有关数据、文件无附加延迟地传递给甲方及中国证券登记结算公司。倘若遇到自然灾害、战争、政府政策变动等不可抗力造成通信系统发生中断，则乙方应在第一时间向甲方说明事故原因，并提供证据。对此不可抗力造成的小概率故障，乙方不承担直接或间接赔偿损失的责任。

Party B undertakes to transmit the relevant data and documents, without any additional delay, of real-time account opening to Party A and China Securities Depository & Clearing Corporation. In case of force majeure such as natural disasters, war, government policy changes and other force majeure caused by the interruption of the communication system, Party B shall explain the cause of the incident to Party A at the first time and provide evidence. No liability will be on Party B for direct or indirect compensation for losses due to small probability of failure caused by such force majeure.



对于由于第三方原因造成通信系统发生中断事故时，甲、乙双方均有责任敦促第三方予以妥善解决，直至共同追诉第三方的法律责任。

For the interruption of the communication system caused by a third party, Party A and Party B have the responsibility to urge the third party to solve the problem properly until they jointly pursue the legal responsibility of the third party.



五、 争议解决

5. Dispute Resolution



凡因本合同引起或与本合同有关的任何争议，双方应协商解决。协商未获解决的，可将争议提交中国国际经济贸易仲裁委员会，按照仲裁程序进行仲裁。仲裁裁决是终局的，对双方均有约束力。

Any dispute arising out of or in connection with this contract shall be resolved through consultation between the two parties. If the dispute is not resolved through consultation, the dispute may be submitted to China International Economic and Trade Arbitration Commission for arbitration in accordance with the arbitration procedures. The arbitration award shall be final and binding on both parties.



六、 其它

6. Miscellaneous



本合同一式两份，双方各执一份。

This contract shall be executed in duplicate, with each party holding one copy.



本合同的中、英文发生歧义时，以中文为准。

In case of ambiguity between the Chinese and English versions of this contract, the Chinese version shall prevail.
